What are my rights in a limited liability company when a ...

What are my rights in a limited liability company when a partner refuses to conduct business with me in order to pay me back for an offsetting equity account in his behalf so that he can buy my interest of our company. Do I have the legal right to take over management of the business if he is not doing a satisfactory job.

I didn't put in the State correctly it is in Utah and the county is Salt Lake.
