Hi Customer (name blocked for privacy),
I think it is a good idea to use Roberts Rules of Parlimentary Procedure when conducting a Board of Directors meeting. Beginning the meeting, discussions, voting on resolutions and closure of the meeting seem to be effectively well run when Roberts Rules of Parlimentary Procedure are followed. It is an organized, methodical solution to running any business meeting, particularly for privately owned companies as well!
When implemented, the Board members have the opportunity to provide their input and everyone's voice is heard and it is a nice way to allow the meeting to move along with efficiency and expedience.
I am NOT an attorney or involved in legal system as a consultant to this website. I am a nurse and I have considerable experience in the non profit sector and have served and do serve on many Boards (medical/ private business sectors as well.)
