I have a very small company that is incorporated and the only shareholders are my wife and myself. I have not had an annual corporate meeting for many, many years. Therefore the corporate minute books are years and years behind. What is the best way to correct this situation?

Call a corporate meeting that addresses the fact that you haven't had an annual meeting and in that meeting (and the minutes of that meeting) state that the officers of the corporation agree in principal to all actions that the corporation has performed for the past xx years. Then sign and date the current minutes and make a resolution to just do a quick one page meeting of minutes every year hereafter. Most people with 1 or 2 people corporations never get around to doing their minutes and it only becomes a problem if they are audited later or have a civil case against them, so you should be fine.
