Question

Tax collection from inactive corporations

Under California Law and the tax amnesty provision, if a corporation has no current assets, never had assets, has never done business in California or any other state, never filed a tax return, never applied for a Federal tax ID number and is currently suspended: can the Franchise Tax Board collect from the officers' personal assets or are they limited to attempting to collect from whatever assets the corporation might have in the future? If returns are not/ have not been filed can the officers be prosecuted for civil or criminal reasons or must the Corporation itself be sued.

1. What tax are they trying to collect? Franchise? Income? Sales?

2. When was the corporation formed (approximately)?

3. Has the corporation ever had any business activity whatsoever?

4. Has the corporation ever filed any type of State tax return, ie. franchise, income, or sales tax?

Thanks for your reply. I think I need advice specifically from an attorney or paralegal familiar with California corporation and tax law specifically. I do have an opinion on this from my own CPA and he has advised that I should double-check his opinion with an attorney. I appreciate your taking the time to respond, though.
